- Dogecoin Foundation terminates its exclusive cooperation with House, of, and Doge.
- House of Doge 400,000 US dollars are required to be paid according to the termination agreement.
- Dogecoin Labs has become the new official commercial partner of this ecosystem.
Dogecoin Foundation has terminated its exclusive business agreements with NASDAQ-listed companies House, of, and Doge, bringing to an end this partnership that was intended to promote DOGE into the mainstream payment, sports, and financial services sectors.
This separation agreement came into effect on October 19th and was disclosed in a document submitted to the U.S. Securities and Exchange Commission (SEC) on October 23rd. According to the agreement, House, of, and Doge are required to pay $400,000 to the foundation and relinquish their exclusive licensing rights. The company must also cease referring to itself as the foundation's official business partner.
This development marks a reversal of the initial cooperative relationship. Previously, both parties had committed to significantly expanding Dogecoin to everyday business scenarios.
Lose the exclusive right, but retain limited DOGE rights
According to the termination agreement, House, of, and Doge will lose their previous exclusive trademark licenses, designated commercial status, and related rights.
The company and its related subsidiaries must also remove the Dogecoin brand identifier from their company names by December 31, 2026.
However, this separation did not cut off all contact between the two parties.
A new, three-year, non-exclusive license allows House, of, and Doge to continue using the Dogecoin trademark in specific investment products, including the existing 21Shares-related products.
These products include 21Shares Dogecoin ETF as well as related leveraged products and European investment products. New products will need to be approved under the new agreement.
A termination payment of $400,000 is also an important detail.
House of Doge This obligation can be settled in the form of cash, company shares, or a combination of both. The payment is due when funds are sufficient, but the company has not yet specified when this condition will be met.
If payment is not made, the foundation may proceed with outstanding claims and terminate the alternative license.
Dogecoin Labs takes on the official commercial role
The foundation has decided to designate the newly established Dogecoin Labs as its official commercial partner.
Dogecoin Labs integrates the development team with the product, encompassing MyDoge, Such App, and DogeOS, bringing consumer-facing applications and infrastructure under the same organization.
These changes may reshape the strategic direction of Dogecoin's payment applications; previously, this strategy relied to a large extent on the commercial advancement of House, of, and Doge.
House of Doge have agreed to transfer a portion of the Such App assets to Dogecoin Labs. In exchange, they will receive shares valued at approximately 4 million US dollars.
The valuation is based on a pre-investment valuation of $120 million for Dogecoin Labs. However, this asset transfer still needs to meet the delivery conditions, including approval from the lender.
The new arrangement also puts the development of DogeOS together with consumer-oriented products, which may reduce duplicate engineering work.
This may contribute to a broader Dogecoin tokenization strategy, although the product adoption rate and commercial revenue have not yet been verified.
House of Doge Transition to Tokenized Investments
House of Doge are shifting their business focus towards tokenized alternative investments and sports-related assets.
The company had previously signed a binding letter of intent regarding the acquisition of a tokenization platform from McQueen Labs for a transaction amount of $15 million, with part of the consideration depending on future milestones.
At present, the two parties have not yet signed a final acquisition agreement.
This strategy continues the company's previous ambition to list on NASDAQ, but there is a reduced emphasis on directly operating the consumer infrastructure of Dogecoin.
