FF EAI Robotics Ecosystem Inc. ( NASDAQ : FFR, hereinafter referred to as “FFR” or “the Company”) and Faraday Future Intelligent Electric Inc. ( NASDAQ : FFAI, hereinafter referred to as “Faraday Future” or “FF”) jointly held a new product launch event on October 15th, announcing that two new robots have officially joined the “One Brain Multi-forms Multi-capabilities FF Robot World 2.0: FF Nova and FF Nova Mini”.
FF Nova is an entry-level embodied AI humanoid robot, priced at less than $2,500; FF Nova Mini is a humanoid robot designed for basic Physical AI education. The two companies have also launched the FF EAI Education Skills product " Physical AI Spark Program " course and released the FF Nova Physical AI reinforcement learning developer program, while initiating a limited invitation recruitment for the Nova developer community.
FFR and FFAI sign a final agreement to integrate the robotics business of FFAI.
FFR and FFAI signed a final agreement on October 12, 2026. FFR will acquire the robot assets and business of FFAI through a all-stock transaction. Both parties agreed to value the robot business of FFAI at approximately $200 million, and the fully diluted value of FFR at approximately $60 million. FFR will issue shares to FFAI at $2.246 per share, which is about 50% above the closing price of $1.50 on October 12, 2026, the date of signing.
After the transaction is completed, FFR will become the first company among U.S. listed companies to focus solely on the "four-core full-stack" humanoid and bionic EAI robot ecosystem. The company plans to maintain a top three ranking in the EAI robotics industry over the next five years and aims to propel FFR to become one of the most valuable EAI companies of the Physical AI era. FFR will also continue to enhance the synergy between its existing RoboShare business and its robotics business in terms of sales, leasing, deployment, and recurring services.
FFR has raised up to $10 million in its first round of financing, PIPE. This financing was priced at market value, without any discounts or warrants, and the related financing costs were relatively low. Additionally, the structure was designed to minimize equity dilution as much as possible. To better support the interests of investors, FFR has limited the scale of this round of financing to approximately $10 million in order to meet current funding needs and reduce unnecessary equity dilution.
After the transaction is completed, on a fully diluted basis after conversion, FFAI will hold approximately 65.7% of the shares of FFR. All newly issued shares in this transaction will be locked up for 18 months; management and employees will hold about 18.2%; PIPE investors will hold approximately 5.5%; other FFR shareholders will hold about 10.7%. PIPE investors are not allowed to sell their shares within six months or before the resale registration statement takes effect. FFAI, management and employees, as well as PIPE investors, will collectively hold about 89.3%. Excluding these holdings, there will be approximately 13 million tradable shares, which accounts for about 10.7% of the total share capital.
The company stated that signing these agreements is expected to bring benefits in three aspects. At the capital level, a smaller free-floating market is expected to reduce the supply of tradable shares in the short term, which will help to maximize shareholder value. Financially, FFR is expected to have almost no debt after the transaction is completed, and its capital structure will be lighter. The income statement, balance sheet, and cash flow statement will also become clearer, enhancing the visibility of the company's important values. On the business front, this transaction is expected to accelerate the realization of the strong operational fundamentals of FFR.
FF Nova: The first humanoid robot in the United States priced below $2,500 EAI
FF Nova For developers, technology enthusiasts, Physical AI industry opinion leaders, as well as educational institutions, research centers, training organizations, and students interested in Physical AI. Lidar, wide-angle vision, depth perception, and a ring microphone array all contribute to its capabilities. Nova has a total of 20 degrees of freedom throughout its body, making it a true bipedal humanoid robot capable of walking, turning, waving, and getting back up after being pushed down. It has two modes of movement: it can walk on two legs to interact with people, or it can be mounted on a detachable base for autonomous navigation.
Nova can be connected to large-scale voice AI models, supporting natural dialogue and voiceprint recognition. It also supports integration with AI Agent, enabling cloud-based intelligents to have a physical presence in the real world.
Nova Natively supports developer platforms, including the fully open SDK and ROS development processes, as well as continuous over-the-air updates. Nova will also integrate a complete Sim2Real reinforcement learning process, and provide Skills Store and a developer community, so that the capabilities created by developers can be shared and reused in the future, with the potential for commercialization.
FF Nova is now open for online applications and a limited invitation-based sales system. The first batch of recipients includes universities and research laboratories, educational institutions, independent developers, as well as education innovators. Applicants can submit their applications through developer.ff.com on FF Developer Platform. The review process will be ongoing, and once approved, orders can be placed.
FF Nova will be launched in three phases. The first phase is a limited invitation system, offering 100 units to invited developers and educational institutions, with the first 20 units available for immediate delivery. Applications must be submitted within the seven-day application period on developer.ff.com. After the application period ends, the company will announce the selection results, and eligible developers and educational institutions will then be able to place orders. Pioneer Edition users will receive priority in delivery and will also have early access to SDK, development documentation, sample projects, official technical support, as well as opportunities for co-creation with the ecosystem. Those who perform outstandingly Skills may be selected to join the FF Skills ecosystem, where they can showcase their work, distribute it, and pursue commercialization. The second phase will be open to all developers and educational institutions, showcasing the initial development results and real-world application cases; the third phase will be aimed at the general consumer market.
FF Nova Mini: A humanoid robot priced at $299, aimed at early-stage Physical AI education
FF Nova Mini is the first Physical AI education platform in the United States based on truly bipedal humanoid robots, and it is now available for sale. It integrates programmable robots, introductory courses, and teacher training into a comprehensive solution. Through activities such as real-time motion feedback, project sharing, dance choreography, and obstacle courses, it helps children understand embodiment AI and maintains their interest in learning.
Weighing less than 1 kilogram and featuring an aluminum alloy frame, it is easy for children to carry and use in the classroom. It can walk on two feet, turn around, stand up independently, maintain dynamic balance, and perform forward rolls just like a human. It also supports visual block programming and demonstration-based hands-on teaching; it's ready to be demonstrated right out of the box.
FF Nova Mini is designed for children and adolescents aged 8 and above, and is suitable for K-12 classroom settings, after-school projects, and home scenarios. Its progressive Physical AI curriculum starts with voice commands, robot action teaching, and block programming, gradually transitioning to AI concepts related to motion control. Learning paths are tailored for different age groups. The program also includes lesson plans, experiment manuals, classroom kits, and teacher training, forming a comprehensive educational solution.
In the future, FFR will collaborate with Montessori institutions, early education centers, and elementary schools to develop teaching kits, task cards, as well as observation and assessment tools.
