Groq Shareholder Sues Nvidia Involving a $20 Billion Transaction Structure

Two former engineers claim that the manner in which the deal was executed was unfair, resulting in damage to the interests of other investors. The lawsuit was filed on September 29th and unsealed on October 5th. It is mentioned in the lawsuit that Groq transferred its important technical and engineering talents to Nvidia, causing a decline in the company's value. The lawsuit also points out that the deal included a licensing fee of $17 billion and a stock bonus pool of $3 billion, the latter of which was intended as a reward for selected engineers joining Nvidia. The deal was announced on December 24, 2025, and Groq continues to operate as an independent company.
