The acquisition, valued at approximately $1.45 billion, is expected to expand the serviceable market space of Vertiv in data centers with limited power supply.
UIG A mature team and proprietary technology have integrated microgrid control, on-site power generation scheduling, microgrid-specific switching equipment, and post-meter electricity architecture into the Vertiv product portfolio.
Extending the combination of power and cooling products represented by Vertiv from grid interconnection to the chip level, without relying on any single power generation technology or supplier.
Columbus, Ohio, USA, October 27, 2026 / PRNewswire / -- Vertiv Holdings Co. (New York Stock Exchange ticker: VRT) ("Vertiv") announced today that its wholly-owned subsidiary Vertiv Corporation has completed the acquisition of Utility Innovation Holdings, Inc. The latter operates under the name of UtilityInnovation Group ("UIG"), with a upfront cash consideration of approximately $1.45 billion. The transaction also includes an additional contingent consideration of up to $1.15 billion, depending on the achievement of specific earnings before interest, taxes, depreciation, and amortization ("EBITDA") targets over 12 and 24 months.

Calculated at an acquisition price of approximately $1.45 billion, this deal is equivalent to about 13 times UIG's expected EBITDA for the year 2027. If the entire consideration is paid in full, the EBITDA multiple is expected to be significantly lower. Vertiv predicts that this acquisition will result in an increase in adjusted earnings per share in the first year following its completion.
UIG is a leading enterprise in the fields of microgrid solutions, advanced power control, and post-meter power architecture design for data centers. This acquisition extends Vertiv's business upstream to the grid interconnection phase, adding capabilities in microgrid control, on-site power generation, energy storage orchestration, and post-meter power architecture. These capabilities are expected to help data center operators obtain power more quickly, as grid limitations are increasingly constraining the deployment of AI infrastructure.
Vertiv CEO Giordano Albertazzi stated: "We are delighted to welcome the UIG team to join Vertiv. As AI data center operators accelerate their deployments in an environment with increasingly limited power supplies, access to electricity has become a key competitive advantage. With UIG becoming part of Vertiv, we can extend our capabilities upstream to utility interconnection and on-site power generation, thereby creating a cohesive solution that covers everything from power generation behind the meter to the chip level. This helps customers to get online more quickly without being tied to a single power generation technology or supplier."
The combination of Vertiv and UIG is expected to enable customers to acquire, manage, and expand power with greater flexibility as data center demands evolve, which is specifically reflected in:
- Accelerate the acquisition of power to reduce or eliminate dependence on the utility interconnection schedule;
- To enable the capacity of the site after the table ( BTM ) to be expanded beyond what the power grid can provide individually; as well as
- From grid interconnection to rack-level infrastructure, we provide a single, clearly defined partnership.
UIG Founder and CEO Sidney Hinton stated: "We are very pleased to advance our mission of addressing power constraints that hinder the development of AI data centers. As part of Vertiv, we will be able to bring our expertise in microgrids and post-metering power solutions to a broader global customer base, helping to accelerate the deployment of the critical infrastructure needed to support AI growth."
