San Diego, October 15th / PRNewswire / -- Shareholder Rights Law Firm Robbins LLP reminds investors that it has filed a class action on behalf of all individuals who purchased Triller Group Inc (Nasdaq: ILLR) securities between October 16, 2024, and December 29, 2025 (including both start and end dates). Triller was previously known as AGBA Group Holding Limited (“AGBA”).
The complaint alleges that Triller failed to disclose that it would not be able to submit the required financial reports to the U.S. Securities and Exchange Commission (SEC) on time.
Investors who purchased Triller Group Inc securities during that period and suffered significant losses should contact Robbins LLP to obtain information regarding the lawsuit as well as the deadline for the lead plaintiff's motion on December 14, 2026.
Why is Triller being sued?
According to the complaint, on October 15, 2024, AGBA completed a merger transaction ("merger"), merging with entities including Triller Corp ("Legacy Triller"). Triller Corp is a Delaware-based company that operates a new generation social media and live streaming platform allegedly aimed at creators and driven by artificial intelligence ("AI"). After the merger, Legacy Triller became a wholly-owned subsidiary of AGBA, and AGBA was renamed ".Triller Group Inc.". The merged company is said to have begun operating the respective businesses of AGBA and Legacy Triller simultaneously.
The complaint alleges that before and after the merger, the company promoted several Legacy Triller assets it acquired in the merger, including Bare Knuckle Fighting Championship (“BKFC”). BKFC organized live and broadcasted fighting events, and the company promoted itself as “the fastest-growing fighting alliance in the industry.”
The plaintiff believes that during the class action period, the defendant failed to disclose the following matters:
- The control and integration of Triller over BKFC is fragile, exaggerated, and/or non-existent at all;
- Triller Due to reasons including the aforementioned accounting issues, it is not possible to submit one or more periodic financial reports to SEC in a timely manner in accordance with NASDAQ's listing requirements;
- Therefore, Triller faces a higher risk of being delisted by NASDAQ;
- Accordingly, there are deficiencies in the disclosure controls and procedures for Triller, the full extent and severity of its financial control issues have been underestimated, and the overall benefits resulting from the merger have been overstated;
- The defendant also exaggerated the ability of Triller to resolve its issues that did not meet NASDAQ listing requirements;
- Therefore, all the public statements made by the defendant at all relevant times were significantly false and misleading.
Triller Why is the stock price falling?
From March 31, 2025, to December 30, 2025, there were multiple disclosures that Triller was unable to submit its annual reports to SEC, which subsequently led to a decline in its stock price. The complaint states that on December 30, 2025, Triller issued a press release announcing that it had received a decision letter from the NASDAQ hearing panel on December 26, 2025, confirming that the company's securities would be suspended from trading on the NASDAQ stock market and delisted starting from the opening of trading on December 30, 2025, due to the company's failure to submit two periodic reports by the deadline of December 24, 2025, set by the hearing panel. The press release also disclosed that the delay in submission was mainly attributed to an unresolved technical issue involving the merger of accounts of a U.S. business within Triller Group; at that time, it was not disclosed that this business was actually BKFC. Affected by this news, the stock price of Triller fell by $3.38, or 91.35%, over the following two trading days, and closed at $0.32 on December 31, 2025.
The securities of Triller will be suspended from trading from December 30, 2025, to April 15, 2026. Triller last received a notice of non-compliance from NASDAQ staff on September 2, 2026, and as of the submission of this complaint, its common shares are traded only at ‘penny stock’ prices.
