Petrus indicates that it holds approximately 3.8% of the ordinary shares of Iveco Group, and has issued a document outlining its views on a voluntary all-cash tender offer for Tata Motors at €14.10 per share. Petrus claims that this bid does not reflect the fair value of Iveco's shareholders, citing reasons such as a significant undervaluation compared to peers, shareholders not receiving a reasonable portion of the transaction synergies, and the need for compensation for the 15-month waiting period between the announcement of the transaction and its anticipated completion.

Petrus responds to Tata Motors' acquisition offer for Iveco: Fair value should be paid

St Helier, Jersey, and London, September 29, 2026 / PRNewswire / -- Petrus Legal Strategies ( Jersey ) Limited , Petrus Advisers Limited as well as the funds that receive investment advice from Petrus Advisers Limited (collectively referred to as “Petrus”) have today issued a statement outlining their views on Tata Motors' proposed all-cash voluntary tender offer for Iveco Group N.V. (“Iveco”) at €14.10 per share. Petrus holds approximately 3.8% of the ordinary shares of Iveco. This presentation material can be viewed at www.petrusadvisers.com / Iveco.

Petrus indicates: "Today, we have released our views on the quote of 14.10 euros: it explains why this quote does not represent the fair value that the shareholders of Iveco should receive."

Petrus stated: 'First, compared to its peers, this quote significantly underestimates Iveco. Second, the shareholders of Iveco have not received an appropriate share of the synergistic value created by this transaction; yet Tata Motors itself describes this value as quite substantial when presenting it to its investors. Third, shareholders should be compensated for the period of up to 15 months between the announcement of the transaction and its anticipated completion.'

Petrus means: "Our demand is very simple: to pay a fair value to all Iveco shareholders."
