Tradecraft becomes the first venue to support tokenized US stock trading under the innovation exemption of SEC.
Transactions involving Canton Strategic Holdings (Nasdaq ticker: CNTN) followed a notice issued by TSV LLC to SEC on September 23; this is the first notice issued by any tokenized securities venue.
New York, November 4th / PRNewswire / -- TSV LLC (referred to as “TSV”) indicated that, as the licensed venue for tokenizing NMS stocks on Canton Network, it supported today the first transaction of tokenized U.S. stocks completed under the innovative exemption of the U.S. Securities and Exchange Commission (SEC). Tradecraft is the automated market maker agreement that underpins TSV. In these transactions, DRW Cumberland completed the initial purchase of tokenized shares of Canton Strategic Holdings, Inc (Nasdaq ticker: CNTN) common stock, with the seller being the existing shareholder Five North. Fairmint TA LLC (“Fairmint”) is the registered transfer agent for SEC and also a subsidiary of Fairmint, Inc. The shares were recorded in the form of tokens in Five North's verified Loop Wallet, with Flowdesk Liquidity Solutions LLC (“Flowdesk”) providing liquidity.
These transactions represent a milestone in the field of tokenized stocks in the United States, as they for the first time incorporate on-chain trading of U.S.-listed stocks into the new regulatory framework announced by SEC in September. As this asset class attracts more attention, The Block Research data shows that the on-chain value of tokenized stocks has grown from approximately $678 million at the beginning of 2026 to $3.15 billion in September. TSV indicates that with the regulatory path now clear, issuer-led listings like those of CNTN provide a model for listed companies to take their shares onto the blockchain while maintaining the rights expected by investors.
TSV, co-founder, Ryan Trinkle stated: "For the first time, shares of a U.S. listed company have been traded on-chain under the innovative exemption of SEC, and they enjoy the same rights as the CNTN stocks traded on NASDAQ. Our goal is to make our first listed project the standard for how tokenized U.S. stocks should operate under the SEC innovative exemption. These tokens are managed by the issuer, and the official records are kept by the on-chain transfer agent of Fairmint. Each holder must be verified before holding or trading them. On Tradecraft, approved investors can now trade around the clock, with shares and payments settled on Canton Network."
These transactions follow closely on the announcement made by Canton Strategic Holdings on October 29th that it had reached an agreement with TSV to provide its common shares for trading at that platform. Fairmint, the registered transfer agent of Canton Strategic Holdings represented by SEC, will record the tokenized shares as issuer-led shares, maintain the official record of ownership on the blockchain, manage the list of verified holders and wallets, and execute the company's transfer controls. Holders of the tokenized shares enjoy the same rights and privileges as holders of the shares of CNTN that are traded on NASDAQ.
On September 17, an innovative exemption was announced by SEC, allowing eligible platforms to trade tokenized U.S. stocks through a pool of licensed automated market makers (AMM). As a special purpose regulatory vehicle, TSV was the first entity to formally notify SEC of its intention to operate a venue for tokenized securities, and it issued its first venue notice on September 23. Since Canton Strategic Holdings sponsored the tokenization of its own shares, this listing did not require the 30-day issuer notification and objection process applicable to the tokenization of companies without related parties.
Tradecraft is the leading AMM protocol on Canton Network, and it provides support for TSV. Through this platform, approved participants can trade tokenized shares around the clock, but they must comply with regulatory requirements regarding trading suspensions, maintenance, risk control, and trading volume limits; transactions are atomically settled through delivery against payment (delivery-versus-payment), meaning shares and payments are delivered simultaneously. Participants and their wallets must be approved before trading, including undergoing identity verification and sanctions screening, and smart contracts will enforce these rules.
