On Monday, Anthropic disclosed its IPO prospectus, which lists over 90 pages of risk factors, stating that its AI model may pose "catastrophic risks or risks related to human survival." It also warns that obstacles in data centers, power shortages, controversies regarding child safety, and a slowdown in the company's AI expenditures could all impact the company's business, financial condition, and operating results.

The much-anticipated initial public offering (IPO) by Anthropic is allowing potential investors to more intuitively see the high-risk nature of the artificial intelligence business.

In the prospectus for Anthropic IPO disclosed on Monday, over 90 pages are dedicated to discussing the numerous corporate risk factors faced by this AI laboratory, many of which go beyond the standard boilerplate language commonly found in company documents.

From the end of humanity to the current conflicts with the Trump administration, the IPO files of Anthropic highlight how one of the best-funded startups in history was able to foresee its future operating environment.

The IPO of Anthropic involves "survival level" risks

The risks listed by this Claude developer include various ways in which their model may cause harm, among which are potential “catastrophic or existential risks” to humanity.

The document states that Anthropic must emphasize the security of AI, as failure to do so may have an adverse impact on its "brand, business, financial condition, and operational performance." However, intense competition, market pressure, and the expectations of stakeholders make the task of securely developing and deploying cutting-edge foundational models particularly challenging.

Anthropic cannot guarantee that the security measures for AI are sufficiently adequate, as the complexity of this technology itself makes it difficult for the company to plan for and predict every potential scenario.

Data center pressure is increasing.

The public's increasingly negative attitude towards data centers poses a significant risk to Anthropic. The company relies on a continuously expanding portfolio of advanced computing facilities to train and maintain its core foundational models.

As the midterms approach, the large-scale construction of data centers in the tech industry has also become politicized. According to data from the National Conference of State Legislators, legislators in 16 states are considering suspending such construction.

The document states: 'Opposition to data center development has also become more organized and coordinated across different jurisdictions, and our public profile may draw extra attention to projects that are associated with us.'

Power issues

Anthropic The success of the future depends not only on the construction of large data centers but also on the electricity and related infrastructure required to power these computing facilities.

The document indicates that there is a lack of “sufficient electricity” nationwide and even globally, which poses a significant risk to Anthropic as well as its competitors. The document also states that even if “on-site natural gas power generation” makes energy supply more accessible, electricity costs may still rise under such high demand.

Child Protection Risks

Competitors such as OpenAI and Meta have been criticized by legislators and plaintiff's lawyers for the design and implementation of their AI models and applications, which are alleged to have contributed to certain child safety-related harms. Meta recently agreed to pay approximately $17 billion to settle lawsuits involving child mental health and technology addiction with several state attorneys general.

So far, Anthropic has largely avoided such scrutiny, but the documents indicate that the company may also face its own legal troubles in the future. According to its terms of service, minors are not allowed to access Claude and related products.

Anthropic indicates that as the scope of adoption of its models expands, 'including minors and other vulnerable users,' despite the company's efforts to limit such access, there is still work to be done in protecting children.

Can't slow down

The company, which calls for setting a pace for the development of cutting-edge technologies, also stated that acting too slowly is in itself a risk.

Anthropic needs to continue to accelerate its progress, and it also requires other participants in the business world to keep up. If companies cut back on AI expenditures, Anthropic may be impacted.

The document states: 'If the development speed of our models, platform, and app market is slower than we anticipated, or if there is a decline, our growth may slow down or stagnate, and our business, financial condition, and operating performance could be adversely affected.'

The prospectus also lists the decline in demand for cutting-edge models as a risk. Customers may find that models with lower costs are already sufficient, and that "the marginal improvements in cutting-edge performance are not enough to justify additional costs," leading them to turn to cheaper or open-source alternatives.
