St. Louis, October 1st ( PR Newswire ) – DOOR ( OTC : LTCH ) Today, it was announced that the U.S. Securities and Exchange Commission ( SEC ) has approved the settlement agreement previously disclosed by the company, bringing to an end the investigation into SEC. The investigation involved historical practices related to the company's key performance indicators, revenue recognition methods, and related issues. This settlement resolves the last major outstanding matter that began in 2022.

According to the settlement agreement, the company agrees to pay a civil fine of one million dollars quarterly and to sign an administrative order, but it neither acknowledges nor denies the findings regarding SEC in that order. DOOR disclosed this principled settlement as early as August 10, 2026.

This settlement marks the end of the company's four-year effort to resolve lingering issues that began in 2022. Since the end of 2024, DOOR has:

  • Submitted financial statements for seven years, including restatements of previous periods, and for the first time since mid-2022 in February 2026, resumed compliance with the SEC reporting requirements.
  • Resolved four shareholder lawsuits, with the last one reaching a settlement in principle in August 2026.
  • Final resolution reached with SEC

DOOR CEO David Lillis stated: "When our team took over, we faced a situation that included four major securities lawsuits and one SEC investigation. It took several years to resolve these issues, and a great deal of resources were consumed in the process. Now that the last matter has been settled, these resources will be put to their proper use: to help property owners and operators manage buildings more intelligently. We are grateful for the support we have received from our customers, partners, and team members throughout this time."
