According to CoinMeta, MemeCore and ZeroStack Corp have signed a crypto asset contribution agreement worth $1 billion, incorporating nearly 926 million MemeCore tokens into the ZeroStack balance sheet, providing equity for MemeCore investors. Under the agreement, Puple AI Inc and Blockcat Pte will contribute 925,925,926 MemeCore tokens, valued at $1.08 each, in exchange for 3.5 million ZeroStack common shares and warrants, covering up to 36,198,293 shares. The warrant price is $25.19 per share, which is more than 12 times ZeroStack's recent market trading price. This transaction requires shareholder approval and will be subject to a 10-year lock-up period after completion. ZeroStack is deepening its investment in decentralized artificial intelligence through this deal, and management stated that this collaboration aims to promote consumer-driven distributed artificial intelligence. CEO Daniel Reis-Faria referred to this agreement as an “important milestone.”
